Important Note

These Terms & Conditions apply to the SoftwareWale Software Consultant Program operated by SoftwareWale.in / SoftwareWale.

This page explains the basic rules of the SoftwareWale Software Consultant Program. For any conflict, exception, campaign-specific offer, or special case, written confirmation from SoftwareWale will apply.

By applying for or participating in the program, you agree to follow these terms.

The purpose of this program is to allow approved individuals to identify client needs and initiate client onboarding deals for SoftwareWale and earn success-based corporate payouts when client onboarding is completed.

1. Program Overview

The SoftwareWale Software Consultant Program is an independent consultant program.

Approved Software Consultants may connect potential clients such as schools, coaching centres, transporters, clinics, salons, restaurants, shops, local businesses, and other organizations that may need software, websites, apps, or digital solutions.

SoftwareWale will handle product demos, pricing discussions, proposal sharing, customer onboarding, software delivery, and support.

The Software Consultant's role is to identify and initiate genuine client opportunities.

2. Independent Consultant Status

Software Consultants are independent Business Development Partners.

Participation in this program does not create an employment relationship, internship relationship, agency relationship, franchise relationship, legal partnership, joint venture, or permanent association with SoftwareWale.

Software Consultants are not employees of SoftwareWale and are not entitled to salary, stipend, employee benefits, reimbursements, leave, PF, insurance, or any employment-related benefit.

Software Consultants are responsible for their own time, effort, communication, internet, travel, phone calls, taxes, and expenses unless SoftwareWale confirms otherwise in writing.

3. Eligibility

To participate in the program, a person must apply and be approved by SoftwareWale.

SoftwareWale may accept or reject any application at its discretion.

Students, freshers, freelancers, creators, digital marketers, campus leaders, working professionals, business owners, and local networkers may apply.

If the applicant is below 18 years of age, participation may require parental or guardian consent, and SoftwareWale may reject or pause participation until proper confirmation is received.

4. Approved Products and Services

Software Consultants may connect clients for SoftwareWale products and services, including but not limited to:

  • SchoolSuite by SoftwareWale
  • Transport & Logistics billing software
  • Business websites
  • Custom software development
  • Mobile apps
  • Web applications
  • Business automation tools
  • Other SoftwareWale-approved services

SoftwareWale may add, remove, or modify eligible products and services at any time.

5. Client Registration

A deal opportunity will be considered valid only when the client lead is properly registered with SoftwareWale through an approved method, such as website form, WhatsApp, email, CRM entry, registration form, or any other process shared by SoftwareWale.

A valid client lead should include basic details such as:

  • Customer name or organization name
  • Contact person name
  • Phone number or email
  • City and state
  • Business type
  • Requirement or interest
  • Software Consultant name/contact details

SoftwareWale may reject incomplete, fake, duplicate, spam, irrelevant, or non-serious deals.

6. Duplicate Deals and Opportunity Assignment

If the same client was already known to SoftwareWale, already present in SoftwareWale's pipeline, already contacted by another Software Consultant, already received through marketing, or already under discussion, payouts may not apply.

If two or more Software Consultants connect the same client, SoftwareWale will decide opportunity assignment based on factors such as:

  • Who registered the client first
  • Whether the client details were complete
  • Whether the customer confirms the connection
  • Whether the Software Consultant made a genuine connection
  • Existing communication history with SoftwareWale

SoftwareWale's decision on opportunity assignment will be final for program administration purposes.

To avoid disputes, Software Consultants should register opportunities before making extended follow-ups or public claims.

7. Client Validity Period

A registered client will remain assigned to the Software Consultant for a fixed period decided by SoftwareWale.

Suggested default validity: Client validity is 90 days from the date of valid registration.

If the client onboarding is completed within this period, the eligible payout may apply.

If the customer completes onboarding after the validity period, payouts may apply only if SoftwareWale confirms in writing that the Software Consultant's connection was still the primary reason for onboarding.

SoftwareWale may extend, reduce, or cancel client validity in cases of duplicate leads, fake leads, client inactivity, consultant inactivity, or dispute.

8. Software Consultant Responsibilities

Software Consultants must:

  • Connect only genuine business clients.
  • Share correct and honest information.
  • Avoid misleading claims.
  • Avoid spamming schools, businesses, teachers, parents, or customers.
  • Maintain professional communication.
  • Respect client privacy.
  • Follow SoftwareWale's brand guidelines and consulting instructions.
  • Use only approved brochures, demo links, pricing information, and pitch material.
  • Inform SoftwareWale if a client asks for custom pricing, discounts, timelines, or special features.
  • Disclose their connection with SoftwareWale when promoting products online or on social media.

Software Consultants must not:

  • Promise discounts without SoftwareWale approval.
  • Promise delivery timelines without SoftwareWale approval.
  • Promise features that SoftwareWale has not confirmed.
  • Collect money from clients on behalf of SoftwareWale.
  • Sign agreements on behalf of SoftwareWale.
  • Represent themselves as an employee, director, official sales manager, or authorized legal representative of SoftwareWale.
  • Use fake testimonials, fake screenshots, or misleading claims.
  • Run paid ads using the SoftwareWale brand name without written permission.
  • Misuse SoftwareWale's logo, website, content, product screenshots, or client information.

9. SoftwareWale Responsibilities

SoftwareWale will make reasonable efforts to:

  • Review Software Consultant applications.
  • Share approved product information.
  • Review registered client details.
  • Contact genuine clients where appropriate.
  • Conduct demos and pricing discussions.
  • Handle customer proposals, closure, delivery, and support.
  • Track eligible client onboarding deals.
  • Process eligible payouts as per consultant terms.

SoftwareWale does not guarantee that every client will be contacted, accepted, or onboarded.

SoftwareWale may reject any client deal that is not suitable, not genuine, not relevant, not reachable, or not aligned with SoftwareWale's business.

10. Payout Eligibility

Payout is payable only when all of the following conditions are met:

  • The Software Consultant is approved by SoftwareWale.
  • The client opportunity is valid and accepted by SoftwareWale.
  • The client is not duplicate or already known to SoftwareWale.
  • The client becomes a paying customer.
  • SoftwareWale receives the customer payment successfully.
  • The customer payment is not refunded, reversed, disputed, or cancelled.
  • The Software Consultant has followed these Terms & Conditions.
  • SoftwareWale confirms that payout is applicable.

Payout is not payable for rejected, fake, duplicate, incomplete, cancelled, refunded, disputed, or non-paying clients.

11. Payout Amount

Payout structure, eligible product category, payment method, and payout timeline will be shared with approved Software Consultants separately.

SoftwareWale may offer different payout structures for different products, services, campaigns, cities, or consultant categories.

Unless confirmed in writing, no Software Consultant should assume that every product, renewal, monthly subscription, support fee, customization fee, hosting fee, GST amount, discount, or third-party cost is subject to payout calculation.

12. Payout Calculation

Payout will normally be calculated only on the eligible amount actually received by SoftwareWale from the client.

Unless specifically confirmed in writing, payouts will not be calculated on:

  • GST or taxes
  • Refunds
  • Discounts
  • Payment gateway charges
  • Third-party software cost
  • Hosting/domain cost
  • Government fees
  • Travel cost
  • Hardware cost
  • Customer reimbursements
  • Maintenance or renewal amounts not included in consultant terms

Example: If a customer pays for a project and part of the amount includes tax or third-party charges, payouts may apply only on the approved base service amount.

13. Payment Timing

Payouts will be processed only after SoftwareWale receives and confirms the customer payment.

Suggested payout rule: Payout is processed within 15 to 30 working days after customer payment confirmation, subject to refund/dispute checks and required consultant details.

SoftwareWale may delay payment if:

  • Customer payment is pending
  • Customer payment is disputed
  • Customer asks for refund
  • Opportunity assignment is disputed
  • Consultant details are incomplete
  • Tax or compliance details are pending
  • Software Consultant has violated these terms

14. Tax and Compliance

Software Consultants are responsible for their own tax obligations, income reporting, bank details, UPI details, PAN details, GST applicability, and any other compliance required under Indian law.

SoftwareWale may request PAN, bank details, invoice, declaration, or other documentation before processing payouts.

If tax deduction, reporting, or compliance is required under applicable law, SoftwareWale may deduct or process payments accordingly.

15. Customer Payments

Software Consultants must not collect money directly from clients unless SoftwareWale gives written permission.

Clients should pay SoftwareWale directly through approved payment methods.

Any unauthorized money collection, personal payment request, or misrepresentation may result in immediate removal from the program and forfeiture of unpaid payouts.

16. Pricing and Offers

Only SoftwareWale can confirm final pricing, discounts, offers, product scope, delivery timelines, implementation terms, payment terms, and support terms.

Software Consultants may share general product information, but they must not make final commercial commitments.

If a client asks for pricing, customization, discount, contract, invoice, or delivery commitment, the Software Consultant should connect the client with SoftwareWale.

17. Marketing and Brand Usage

Software Consultants may share SoftwareWale's approved website links, brochures, product pages, demo links, and approved promotional material.

Software Consultants must not modify the SoftwareWale logo, product screenshots, website content, brochures, or brand assets in a misleading or low-quality manner.

Software Consultants must not create fake websites, fake social media pages, fake business listings, or ads pretending to be SoftwareWale.

Software Consultants must not use SoftwareWale's brand name in paid ads, domain names, social media handles, or misleading campaigns without written approval.

18. Social Media and Influencer Disclosure

If a Software Consultant promotes SoftwareWale on social media, YouTube, Instagram, LinkedIn, WhatsApp communities, Telegram groups, blogs, or any public platform and may receive payouts or benefits, they should clearly disclose that they are associated with SoftwareWale as an independent Software Consultant.

Suggested disclosure: I am an independent SoftwareWale Software Consultant and may earn a payout if a client completes onboarding.

This keeps promotions transparent and avoids misleading clients.

19. Confidentiality

Software Consultants may receive product details, pricing information, client details, demo access, pitch material, internal process information, and business information from SoftwareWale.

Software Consultants must keep confidential information private and use it only for genuine consulting purposes.

Software Consultants must not share client details, internal pricing, private documents, demo credentials, or business information with unauthorized persons.

20. Client Data and Privacy

Software Consultants must collect and share client information only for genuine onboarding purposes.

Software Consultants should not misuse client phone numbers, email addresses, school information, student information, parent information, or business details.

Software Consultants must not add clients to spam groups, mass campaigns, or unrelated marketing lists.

Any client data shared with SoftwareWale should be accurate and collected in a fair manner.

21. No Spam Policy

Software Consultants must not use spam, harassment, misleading messages, fake urgency, fake offers, or mass unsolicited communication.

SoftwareWale may immediately reject opportunities or remove consultants who damage the brand reputation through spam or aggressive behavior.

22. Prohibited Conduct

SoftwareWale may suspend or remove a Software Consultant for:

  • Fake client details
  • Duplicate opportunity manipulation
  • Misleading claims
  • Abusive communication
  • Client harassment
  • False promises
  • Unauthorized discounts
  • Unauthorized money collection
  • Brand misuse
  • Sharing confidential information
  • Creating fake reviews or fake testimonials
  • Running unauthorized ads
  • Violating client privacy
  • Any conduct harmful to SoftwareWale, clients, or other consultants

23. Refunds, Cancellations, and Disputes

If a customer cancels, does not pay, delays payment, disputes payment, asks for refund, or the project does not proceed, payouts may not be payable.

If a payout was already processed and the customer payment is later refunded, reversed, or found fraudulent, SoftwareWale may adjust the amount from future payouts or request repayment where legally appropriate.

24. Program Changes

SoftwareWale may update, pause, modify, or stop the Software Consultant Program at any time.

SoftwareWale may change eligible products, payout structure, client validity, approval process, payout rules, or consultant requirements.

Updated terms will apply from the date they are published or communicated.

25. Termination

Either SoftwareWale or the Software Consultant may stop participation in the program at any time.

SoftwareWale may terminate or suspend a Software Consultant immediately if the consultant violates these terms or damages customer trust, brand reputation, or business interests.

After termination, unpaid payouts will be reviewed. Valid, approved, and undisputed payouts may still be processed as per these terms. Payouts may be withheld for disputed, fraudulent, fake, duplicate, or policy-violating leads.

26. Limitation of Liability

SoftwareWale is not responsible for any personal expenses, travel expenses, phone bills, internet cost, business loss, opportunity loss, or indirect loss incurred by a Software Consultant.

Participation in the program is voluntary. Software Consultants should not make financial commitments assuming guaranteed payouts or guaranteed conversions.

27. No Guarantee of Income

SoftwareWale does not guarantee income, minimum earning, fixed payout, job placement, internship certificate, employment, or fixed number of clients.

Earnings depend on genuine client connections, customer interest, successful closure, customer payment, and Software Consultant compliance with these terms.

28. Dispute Resolution

In case of any dispute related to opportunity assignment, payout eligibility, payment amount, duplicate leads, or program participation, SoftwareWale will review available records such as registration time, WhatsApp/email communication, customer confirmation, CRM records, and payment status.

SoftwareWale's decision will be final for program administration purposes.

For legal disputes, the matter will be governed by the laws of India, and courts at Bengaluru, Karnataka shall have jurisdiction, unless SoftwareWale chooses another applicable jurisdiction based on its registered business details.
